These Terms govern your use of GrantPulse. We have written them to be clear and straightforward, and to protect both your organization and ours.

Acceptance of Terms

By creating an account or using GrantPulse, you agree to these Terms of Service. If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

The Service

GrantPulse provides Grant Spend Management (GSM) software to help nonprofit organizations track restricted funding, manage expenses, and generate reports. We provide the tools and infrastructure; you retain ownership and control of your data.

Account Responsibilities

When you create a GrantPulse account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity that occurs under your account
• Use the service only for lawful purposes and in accordance with these terms

Acceptable Use

You agree not to:

• Use GrantPulse for any illegal purpose or to violate any laws
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with or disrupt the service or servers
• Upload malicious code, viruses, or harmful content
• Impersonate others or misrepresent your affiliation with any person or organization
• Resell or redistribute the service without written permission

Your Data and Content

You retain all rights to the data you enter into GrantPulse. By using our service, you grant us permission to store, process, and display your data solely for the purpose of providing the GrantPulse service to you.

You are responsible for the accuracy and legality of the data you upload. You represent that you have the necessary rights and permissions to use and share any content you enter into GrantPulse.

Service Availability

We strive to keep GrantPulse available and reliable, but we cannot guarantee uninterrupted access. We may need to perform maintenance, updates, or modifications to the service. We will provide advance notice of planned downtime when possible.

Early Access Program

During the Early Access phase, GrantPulse is provided at no cost to participating organizations. We reserve the right to introduce paid plans in the future. Early Access participants will receive advance notice of any pricing changes, and we will never move you into a paid plan without your explicit agreement.

Termination

You may terminate your account at any time by contacting us. Upon termination, we will provide you with an export of your data and delete your information as described in our Privacy Policy.

We reserve the right to suspend or terminate accounts that violate these Terms of Service or engage in harmful behavior. We will provide notice and an opportunity to remedy the situation when possible.

Limitation of Liability

GrantPulse is provided "as is" without warranties of any kind. While we work hard to provide a reliable and secure service, we cannot guarantee it will be error-free or meet all your requirements.

To the extent permitted by law, GrantPulse and its team will not be liable for any indirect, incidental, or consequential damages arising from your use of the service. Our total liability will not exceed the amount you paid us in the twelve months prior to the event giving rise to the claim.

Changes to These Terms

We may update these Terms of Service from time to time. If we make significant changes, we will notify you by email and provide a summary of what changed. Your continued use of GrantPulse after changes are posted constitutes acceptance of the updated terms.

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes will be resolved in the courts of Ontario, Canada.
